Terms of Service

These Terms of Service (“Terms”) govern your use of swalle’s products and services. By purchasing or inquiring about our products, you agree to these Terms.
1. Acceptance of Terms
These Terms of Service (“Terms”) apply to all business transactions between swalle (“Company”, “we”, “us”) and any individual or entity (“Client”, “you”) that purchases, inquires about, or uses our energy storage products (including portable power stations, LiFePO4 batteries, and sodium-ion batteries).
By submitting an order, inquiry, or accessing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as all applicable laws and regulations. If you do not agree to these Terms, you must not use our products or services.
2. Definitions
- Products: Refers to swalle's portable power stations, LiFePO4 batteries, sodium-ion batteries, and related accessories.
- Quote: A written price offer provided by the Company to the Client, valid for 30 days unless otherwise stated.
- Order: A binding request by the Client to purchase Products from the Company, based on a confirmed Quote.
- Warranty Period: The specified time frame during which the Company provides free repair or replacement for defective Products (see Section 6).
- Business Days: Monday to Friday, excluding Chinese public holidays (GMT+8).
3. Product Terms
3.1 All Products are manufactured in compliance with international standards (CE, UL, FCC, RoHS) and are described accurately on our website. Product specifications are subject to minor adjustments without prior notice, provided such adjustments do not materially affect product performance.
3.2 Customized Products (e.g., custom capacity, voltage, or form factor) require a written agreement between the Client and the Company, including detailed specifications, lead time, and payment terms. Customized Products are non-returnable unless defective.
3.3 The Company reserves the right to change Product pricing at any time, but confirmed Orders will be honored at the agreed price.
4. Orders & Payments
4.1 All Orders must be confirmed in writing (email, signed contract) by both parties. The Company may reject any Order at its discretion, including but not limited to Orders with incomplete information or unrealistic delivery requirements.
4.2 Payment terms are as follows (unless otherwise agreed):
- 30% deposit upon Order confirmation, 70% balance before shipment for bulk orders (≥10 units/kWh).
- 100% prepayment for sample orders (<10 units/kWh).
4.3 Accepted payment methods: T/T (Telegraphic Transfer), Letter of Credit (LC), PayPal (for samples only). All bank charges are borne by the Client.
4.4 Prices are quoted in USD, exclusive of taxes, customs duties, and shipping fees unless otherwise stated. The Client is responsible for all applicable taxes and duties in their country/region.
5. Delivery & Shipping
5.1 Lead time: 15-30 business days for standard Products after receipt of deposit; 30-60 business days for customized Products, as specified in the Order confirmation.
5.2 Shipping terms are based on Incoterms 2020:
- EXW (Ex Works): Shenzhen factory, Client arranges shipping and bears all costs/risk.
- FOB (Free On Board): Shenzhen Port, Company covers loading costs, Client bears ocean/air freight and risk after loading.
- CIF (Cost, Insurance and Freight): Company covers freight and insurance to the destination port, Client bears import clearance and local delivery.
5.3 The Client must inspect the Products within 7 business days of delivery. Any damage, shortage, or non-conformity must be reported in writing with supporting evidence (photos, inspection reports) within this period; otherwise, the Products are deemed accepted.
5.4 The Company is not liable for delays caused by force majeure (e.g., natural disasters, customs delays, port strikes) or Client-related issues (e.g., delayed payment, incorrect shipping information).
6. Warranty & After-Sales
6.1 Warranty Period:
- Portable Power Stations: 24 months from delivery date.
- LiFePO4 Batteries: 36 months from delivery date or 3000 cycles (whichever comes first).
- Sodium-ion Batteries: 24 months from delivery date or 2000 cycles (whichever comes first).
6.2 The Warranty covers manufacturing defects only. It does not cover damage caused by: improper use, unauthorized modification, physical damage, natural wear and tear, or failure to follow the User Manual.
6.3 For defective Products covered by the Warranty, the Company will either repair, replace (with new or refurbished units), or refund the purchase price at its discretion. The Client is responsible for shipping defective Products back to the Company (freight collect), and the Company will cover the cost of returning the repaired/replaced Products.
6.4 After-sales support is available via email (info@sawlle.com) or phone (+86 15820408580) during business hours (9:00-18:00 GMT+8, Mon-Fri). Technical support is provided free of charge during the Warranty Period.
7. Intellectual Property
7.1 All intellectual property rights (trademarks, patents, copyrights, trade secrets) in swalle Products, designs, and documentation belong exclusively to the Company.
7.2 The Client is granted a non-exclusive, non-transferable license to use the Products for their intended commercial/industrial purpose only. The Client must not reproduce, reverse engineer, or distribute swalle Products or intellectual property without written permission.
7.3 Unauthorized use of the swalle trademark (including counterfeiting, reselling under false branding) will result in termination of all agreements and legal action for damages.
8. Disclaimers & Limitations
8.1 The Company makes no warranties, express or implied, other than those stated in Section 6, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
8.2 The Company’s total liability for any claim related to the Products or these Terms shall not exceed the total purchase price of the relevant Products. The Company shall not be liable for indirect, incidental, consequential, or special damages (e.g., lost profits, business interruption).
8.3 The Client assumes full responsibility for the safe use of the Products, including compliance with local electrical and safety regulations. The Company is not liable for personal injury or property damage caused by improper use of the Products.
9. Dispute Resolution
9.1 Any dispute arising from or related to these Terms shall first be resolved through amicable negotiations between the parties within 30 days of written notice of the dispute.
9.2 If negotiations fail, the dispute shall be submitted to arbitration in Shenzhen, China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration award shall be final and binding on both parties.
9.3 These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, excluding conflict of law principles.
10. Miscellaneous
10.1 These Terms constitute the entire agreement between the parties regarding the subject matter herein, superseding all prior oral or written agreements.
10.2 The Company may modify these Terms at any time by posting the updated version on our website. Modified Terms shall take effect 30 days after posting, except for existing Orders (which shall be governed by the Terms in effect at the time of Order confirmation).
10.3 If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
